POSITION CRITERIA
Responsibilities:-
- To ensure compliance with the Main Market Listing Requirements of Bursa Malaysia Securities Berhad (“Bursa Malaysia”), the Securities Commission Act, 1993, Capital Markets and Services (Amendment) Act, 2012, the Companies Act, 2016, Malaysian Code on Corporate Governance (“MCCG”) and other applicable law and regulations pertaining to company secretarial matters.
- To review or prepare the resolutions, annual returns, semi-annual returns, circular, announcements to Bursa Securities, minutes of meetings and other documents for accuracy and to ensure timely filing of documents.
- To ensure that all arrangements for annual general meetings/ extraordinary general meetings/ board meetings/ audit committee meetings/ management meetings and other meetings are properly conducted.
- To prepare and review the annual report write-out on the corporate governance statements, audit committee report, risk management and internal control statement, the preparation of the circular/statement to shareholders in relation to the proposed renewal of shareholders’ mandate for recurrent related party transactions of a revenue or trading nature and share buy-back mandate as well as Management Discussion & Analysis.
- To assist the Senior Manager – Secretarial & Group Company Secretary in advising the board on corporate and compliance matters as well as filing and up-keeping of statutory books, registers and secretarial records.
- To assist in the preparation of the Group Sustainability Reporting and Risk Management reporting pursuant to MCCG and Bursa Securities listing requirements.
Requirements:
- ICSA graduates and is a member of MAICSA.
- Minimum of 6 years’ working experience in corporate secretarial practice in public listed companies or in a management firm.
- Pleasant personality with good working attitude.
- Familiar with Companies Act and Bursa Malaysia listing requirements.
- Able to work under pressure, detailed, meticulous and analytical.
- Good command of written and spoken English and Bahasa Malaysia.
